Partner Program Agreement

Effective Date: March 31, 2025

This Agreement is made between Patientli, LLC, a Washington limited liability company (“Patientli”), and the individual or entity participating in the Patientli Partner Program (“Partner”). By participating in the program, the Partner agrees to the following terms:

1. Purpose of the Agreement

This Agreement outlines the terms under which the Partner may refer potential clients to Patientli in exchange for referral compensation.

2. Referral Compensation

Patientli agrees to pay the Partner a one-time referral fee equivalent to one month’s subscription amount of the plan selected by the referred client. Amounts are as follows:

• Basic Plan: one payment of $750
• Starter Plan: one payment of $1,750
• Growth Plan: one payment of $3,000

Referral compensation is payable provided that:

• The referred client signs up using the Partner’s unique referral link, after direct written introduction to a representative of Patientli, or is otherwise clearly tracked to the Partner.
• The referred client remains continuously subscribed and pays in full for at least 90 days.
• The referral is not already in Patientli’s system as an active lead or existing client.
• Referral payments will be issued within 30 days after the 90-day period is complete.

3. Independent Relationship

The Partner is an independent party. This Agreement does not create a joint venture, agency, employment, or partnership between the Partner and Patientli. The Partner may not make statements or commitments on behalf of Patientli.

4. Use of Brand and Materials

Patientli grants the Partner a limited, non-exclusive right to use Patientli branding, logos, and marketing materials for the purpose of promoting Patientli’s services, in accordance with its brand guidelines.

5. Term and Termination

This Agreement remains effective until terminated by either party in writing. Either party may terminate the Agreement at any time, with or without cause, by providing written notice. Referral fees for eligible referrals made prior to termination will still be honored per Section 2.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with this Agreement.

7. Restrictions

• You may not refer yourself or your own business
• You may not use misleading or unethical marketing practices to promote your Referral Link or Patientli’s services
• You may not use Patientli’s name, logo, or other trademarks without our prior written consent, except as expressly permitted in connection with the Program
• You are responsible for all taxes associated with the commissions you earn.

8. Limitation of Liability

Patientli is not liable for indirect, incidental, or consequential damages related to this Agreement. Total liability shall not exceed the total referral fees paid to the Partner.

9. Governing Law

This Agreement is governed by the laws of the State of Washington.

10. Modification

Patientli reserves the right to modify this Agreement at any time. We will notify partners of changes and post the updated Agreement on our website. The revised terms will become effective upon posting. Continued participation in the Program constitutes acceptance of the revised terms.
